These Terms of Use ("Terms") govern your access to and use of the SubImage websites, cloud security products, integrations, documentation, and related services (collectively, the "Service") provided by SubImage Inc. ("SubImage", "we", "us", or "our"). Our website is https://www.subimage.io. By accessing or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
If you and SubImage have entered into a signed order form, Cloud Service Agreement, or other written agreement covering the Service (a "Customer Agreement"), that Customer Agreement governs your use of the Service and controls over these Terms to the extent of any conflict. These Terms apply where no Customer Agreement is in place, and otherwise supplement a Customer Agreement on matters it does not address.
These Terms are not a Data Processing Agreement and are not a substitute for one. SubImage's processing of personal data is described in our Privacy Policy and, where applicable, our Data Processing Agreement.
The Service is intended for business and enterprise use and is not directed to children or to consumers acting for personal, family, or household purposes. To use the Service, you must be able to form a binding contract and must not be barred from doing so under applicable law.
When you create an account or are provisioned access, you must provide accurate information and keep it current. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. Only your employees, contractors, and other authorized users may access the Service, and you are responsible for their compliance with these Terms. Do not share accounts or credentials with unauthorized parties. Notify us promptly at founders@subimage.io of any suspected unauthorized access or use.
Subject to these Terms, SubImage grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your and your affiliates' internal business operations during the period you are authorized to use it. You must use the Service in accordance with SubImage's documentation and any applicable usage limits.
You will not, and will not permit anyone else to:
Failure to comply with this section may result in suspension or termination of access as described below.
"Customer Content" means the data, materials, and configurations you or your authorized users submit to, or connect to, the Service, including metadata and security-relevant data from systems you authorize us to access. As between the parties, you retain all rights in your Customer Content. You grant SubImage a non-exclusive, worldwide right to host, process, transmit, display, and use Customer Content solely to provide, secure, maintain, and improve the Service and as otherwise permitted by these Terms, the Privacy Policy, and any applicable Customer Agreement or Data Processing Agreement.
You are responsible for obtaining all rights, consents, permissions, and authorizations necessary to connect third-party systems to the Service and to allow SubImage to process Customer Content, and for your use of the outputs generated by the Service.
The Service, including all software, documentation, and related materials, and all intellectual property rights in them, are and remain the exclusive property of SubImage and its licensors. Except for the limited rights expressly granted in these Terms, SubImage reserves all rights, title, and interest in and to the Service. Portions of the Service are based on the open-source Cartography project, which is governed by its own open-source license.
If you provide suggestions, ideas, or other feedback about the Service, you grant SubImage a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback into the Service and SubImage's products and services without restriction or obligation to you.
The Service may interoperate with third-party products, platforms, and integrations that you choose to connect. Your use of those third-party services is governed by their own terms and privacy practices, and SubImage is not responsible for them. You are responsible for configuring integrations appropriately and for complying with the terms of the third-party providers you connect.
SubImage's collection and use of information in connection with the Service is described in our Privacy Policy. Where SubImage processes personal data on your behalf, that processing is also governed by our Data Processing Agreement or an applicable Customer Agreement.
SubImage may suspend or limit your access to the Service, in whole or in part, if we reasonably believe that (a) your use poses a security risk or may harm SubImage, the Service, or others; (b) you are in breach of these Terms, including the Acceptable Use and Restrictions section; or (c) suspension is required to comply with law. Where practicable, we will provide notice and an opportunity to remedy the issue.
You may stop using the Service at any time. Upon termination of your right to use the Service, the licenses granted to you end and you must stop accessing the Service. Sections that by their nature should survive termination — including intellectual property, feedback, disclaimers, limitation of liability, indemnification, and governing law — will survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBIMAGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SUBIMAGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL IDENTIFY ALL SECURITY RISKS OR VULNERABILITIES. THE SERVICE PROVIDES SECURITY VISIBILITY AND GUIDANCE AND DOES NOT GUARANTEE THE SECURITY OF YOUR ENVIRONMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER OR NOT THE PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WHERE YOU HAVE A Customer Agreement WITH SUBIMAGE, THE LIABILITY LIMITS IN THAT Customer Agreement CONTROL. OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBIMAGE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), OR, IF YOU HAVE PAID FEES FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, THE AMOUNT OF THOSE FEES. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You will defend, indemnify, and hold harmless SubImage and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your breach of the Acceptable Use and Restrictions section.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Where you have a Customer Agreement, the governing law and dispute-resolution terms of that Customer Agreement control.
We may update these Terms from time to time. When we make changes, we will update the Effective Date above. Material changes may be communicated through the website, the Service, or other appropriate channels. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.
